By engaging Michael V Stagnitta (“Stagnitta,” “Stagnitta Development,” "REI VA," "REIVA.NET," “we,” “us”) for services under a retainer package, you (“Client,” “you”) agree to be bound by the following Terms and Conditions. These terms govern all services provided and supersede any prior agreements or understandings.
1. Services Provided
* Scope: Stagnitta provides design, marketing, consulting, and advisory services, including but not limited to building design, interior design, renderings, virtual staging, branding, video production, photo enhancement, landing pages, graphics, market research, master planning, feasibility studies, site selection, strategic analysis, due diligence, activation, community engagement, partnership development, and strategic planning.
* Nature of Work: All services are creative, opinion-based, and based on available information provided by the Client or publicly accessible data. Deliverables are intended as recommendations and tools to support Client decision-making.
* Deliverables:
* Unlimited design deliverables (turnaround: 3–7 business days).
* Unlimited consulting deliverables (turnaround: 2–6 weeks).
* Weekly check-ins (1–2 meetings, 30–60 minutes each).
* Unlimited revisions within the agreed project scope.
* Work Hours: Up to 20 hours/week of dedicated work per Client. Additional hours, if available, are billed at $100/hour.
2. Client Responsibilities
* Decision-Making: The Client is solely responsible for all financial decisions, property performance, and actions related to their properties or projects. Stagnitta’s services are advisory and creative; we do not guarantee specific outcomes, including financial returns, tenant demand, or project success.
* Data and Access: The Client must provide accurate, complete, and timely information, including project briefs, property details, and stakeholder access, within 5 business days of engagement. Delays in providing data may extend turnaround times.
* Feedback: The Client must provide consolidated feedback within 3 business days for design deliverables and 7 business days for consulting deliverables to maintain project timelines.
* Third-Party Costs: The Client is responsible for all third-party costs, including but not limited to software subscriptions, stock imagery, permits, or legal fees.
3. Payment Terms
* Retainer Fees:
* Monthly Retainer: $4,250/month, billed upfront on the 1st of each month.
* Quarterly Retainer: $12,000/quarter, billed upfront at the start of the quarter.
* Annual Retainer: $45,000/year, billed upfront or in two installments (50% at signing, 50% at 6 months).
* Additional Fees: Rush requests (under 3 days for design or 2 weeks for consulting) incur a 25% surcharge. Additional hours beyond 20/week are billed at $100/hour, subject to availability.
* Late Payments: Payments not received within 5 business days of the due date incur a 5% penalty per week.
* No Refunds: All payments are non-refundable. Deliverables in progress at the time of cancellation or pause will be completed within the paid period.
4. Cancellation and Pause
* Cancellation: The Client may cancel or pause the retainer at any time with written notice (email to [email protected]). The retainer will not renew at the next billing cycle:
* Monthly Retainer: 7 days’ notice, effective at the end of the current month.
* Quarterly Retainer: 30 days’ notice, effective at the end of the current quarter.
* Annual Retainer: 30 days’ notice, effective at the end of the current year.
* Completion of Work: Stagnitta will complete deliverables in progress within the paid period, but no new work will be initiated after notice is received.
* No Refunds: No refunds will be issued for unused time or services.
5. Hold Harmless and Liability
* Hold Harmless: The Client agrees to indemnify, defend, and hold harmless Stagnitta Development, its employees, agents, and affiliates from any claims, damages, losses, or liabilities arising from the Client’s use of our services, decisions made based on our deliverables, or performance of the Client’s properties or projects.
* No Guarantees: Stagnitta does not guarantee specific outcomes, including financial performance, property value, tenant occupancy, or project success. All deliverables are provided “as is” and are based on professional opinion and available data.
* Client Responsibility: The Client acknowledges that all decisions regarding their properties, financial investments, or projects are their sole responsibility. Stagnitta is not liable for any adverse outcomes resulting from such decisions.
6. Scope and Boundaries
* Scope Limits: Services are limited to the agreed project scope outlined at the start of the retainer. New projects or significant scope changes require a separate agreement or amendment.
* Communication: Weekly check-ins are capped at 1–2 meetings/week. Additional meetings are subject to availability and may incur extra fees. Email responses are provided within 24–48 hours during business hours (Monday–Friday, 9 AM–5 PM).
* Revisions: Unlimited revisions are included within the project scope. Revisions requiring new data or scope changes may extend turnaround times or incur additional fees.
* Termination for Breach: Stagnitta may terminate the retainer with 7 days’ notice if the Client fails to provide required data, make payments, or adhere to these terms. No refunds will be issued.
7. Intellectual Property
* Ownership: Upon full payment, the Client owns the final deliverables (e.g., designs, reports) for their use. Stagnitta retains the right to use deliverables in portfolios, marketing, or promotional materials unless otherwise agreed.
* Third-Party Materials: The Client is responsible for ensuring any provided materials (e.g., images, data) do not infringe on third-party rights. Stagnitta is not liable for such infringements.
8. Confidentiality
* Mutual Protection: Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, except as required by law or with written consent.
* Data Security: Stagnitta will take reasonable measures to protect Client data but is not liable for breaches beyond our control (e.g., third-party hacks).
9. Dispute Resolution
* Governing Law: These terms are governed by the laws of New York. Disputes will be resolved through mediation in New York before pursuing legal action.
* Legal Fees: The prevailing party in any dispute is entitled to recover reasonable legal fees and costs.
10. Force Majeure
* Stagnitta is not liable for delays or failure to perform due to events beyond our control, including but not limited to natural disasters, government actions, or technology failures. In such cases, timelines will be adjusted reasonably.
11. Miscellaneous
* Entire Agreement: These terms constitute the entire agreement between Stagnitta and the Client, superseding any prior communications or agreements.
* Amendments: Changes to these terms require written agreement from both parties.
* Severability: If any provision is found invalid, the remaining provisions remain enforceable.
* Assignment: The Client may not assign their rights or obligations without Stagnitta’s written consent.
12. Acceptance
By submitting payment or engaging Stagnitta’s services, the Client acknowledges they have read, understood, and agree to be bound by these Terms and Conditions.
